Terms of Service
Last updated October 22, 2026
1. Who we are
Cortex Route is invoicing and operations software for wholesale distributors. It's run by Cortex Systems (“we”, “us”) in the United States. These terms are an agreement between Cortex Systems and the business that creates an account (“you”). By creating an account or using Cortex Route, you agree to them.
2. The service
Cortex Route lets you create invoices and statements, manage customers, items and prices, run purchasing and inventory, record payments, and print reports. Depending on your plan, it can also include a mobile app, a customer portal for your buyers, automatic emails, and AI-assisted features such as reading receipt photos and typed orders. What each plan includes is listed on our pricing page.
3. Your account
You must be at least 18 and allowed to sign up on behalf of your business. You're responsible for:
- keeping the information on your account accurate;
- the people you invite as users, and what they do in your account;
- keeping passwords private.
Tell us right away at support@cortex-route.com if you think someone got into your account.
4. Trial, billing and cancellation
New accounts get a 14-day free trial, and nothing is charged during it. After that, the subscription is billed monthly or yearly, in advance, and renews until you cancel. You can cancel any time; access continues to the end of the period you paid for. Payments are non-refundable except for billing mistakes. The details are in our Refund Policy, which is part of these terms.
Prices don't include taxes. Where we're required to collect tax, it's added to your bill. We may change prices with at least 30 days' notice by email, and the new price starts at your next renewal after that.
If a payment fails and isn't made after a short grace period, the account becomes read-only until it's paid. You can still view, print and export your records.
5. Your data
Your business records are yours. That means your customers, items, prices, invoices, payments and everything else you put in. You let us store and process them only to run Cortex Route for you, support you, and keep the service secure. We don't sell your data, and we don't use it to advertise to anyone.
You're responsible for having the right to put your customers' information into the service and to send them emails through it. If you invite your buyers to the customer portal, you control their access. How we handle personal information is in our Privacy Policy.
6. Acceptable use
Don't use Cortex Route to break the law, and don't:
- try to get into another business's account or data;
- attack, overload or probe the service, or work around its limits or security;
- upload malware, or send spam or misleading emails through it;
- copy, resell or rent out the service without our written permission.
7. Other services we use
Some features rely on other companies. For example, Stripe handles payments, an email provider delivers the emails you send, and an AI provider reads receipt photos and typed orders. Those features depend on those services being available.
Check AI results before you rely on them. Scanned receipts, parsed orders and suggested prices can be wrong.
8. Availability and changes
We work to keep Cortex Route available and accurate. We don't promise it will never go down or never have a mistake. We improve the product all the time, so features can change. If a change takes away something important you rely on, we'll tell you ahead of time.
9. Disclaimer
Cortex Route is provided “as is” and “as available”. You're responsible for checking your invoices, prices, taxes and records. Cortex Route is not accounting, tax or legal advice.
10. Limits on liability
As far as the law allows, we are not liable for lost profits, lost data, or indirect or consequential damages. Our total liability for any claim is limited to what you paid us in the 12 months before the claim.
11. Ending the agreement
You can stop using Cortex Route and cancel any time. We may suspend or close an account for non-payment or for breaking these terms. Where we reasonably can, we'll warn you first and give you a chance to export your records.
12. Changes to these terms
We may update these terms. The date at the top always shows the latest version. If a change is significant, we'll email account owners before it takes effect. Using Cortex Route after a change means you accept the updated terms.
13. Law and contact
These terms are governed by the laws of the State of New York, USA. Questions: support@cortex-route.com.
